1. Acceptance of Terms

By applying to, accessing, or participating in the Qualify Nation Affiliate Programme ("Programme"), you ("Affiliate", "you") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not apply to or use the Programme. These Terms constitute a legally binding agreement between you and Group Everest Ltd trading as Qualify Nation ("Qualify Nation", "we", "us"), a company registered in England and Wales.

2. Eligibility and Application

To participate in the Programme, you must submit an application through our platform. All applications are reviewed by our team and approval is at our sole discretion. We may reject any application without providing a reason. You must be at least 18 years of age and legally able to enter into a binding contract. You must provide accurate and complete information in your application. Providing false or misleading information is grounds for immediate rejection or termination.

3. Target Market

The Programme is currently limited to the United Kingdom market only. All promotional activities, referral links, and coupon codes must be directed at customers based in the United Kingdom. We do not accept leads or sales originating from outside the UK at this time. Commissions generated from non-UK customers may be rejected or cancelled at Qualify Nation's discretion.

If and when we expand the Programme to additional markets, we will announce this through the affiliate dashboard and via email notification. Until such an announcement is made, affiliates must focus their marketing efforts exclusively on the UK audience.

4. Commission Structure

The Programme operates a two-tier commission model. As an approved affiliate, you earn commission on qualifying sales generated through your referral links or assigned coupon codes.

• Tier 1 (Direct Sales): You earn a commission on sales made by customers you directly refer to Qualify Nation. Your Tier 1 commission rate is set by Qualify Nation and displayed in your affiliate dashboard.
• Tier 2 (Sub-Affiliate Override): If you recruit other affiliates into the Programme using your recruitment link, you earn an override commission on sales generated by those sub-affiliates. The Tier 2 rate is set by Qualify Nation. The two-tier structure is strictly limited to one level of recruitment — you do not earn commission on sales made by affiliates recruited by your sub-affiliates.

Commission rates are configurable by Qualify Nation on a per-affiliate basis and may be adjusted at any time with reasonable notice. All commission rates are expressed internally in basis points (100 basis points = 1%). All monetary calculations are performed in integer pence/cents to ensure precision.

5. Attribution and Tracking

Sales are attributed to affiliates through the following mechanisms:

• Referral Links: When a customer clicks your unique referral link, a first-party tracking cookie (qn_ref) is placed in their browser. This cookie has a 30-day expiry. If the customer completes a qualifying purchase within that 30-day window, the sale is attributed to you.
• Coupon Codes: If a customer uses a coupon code assigned to you at checkout, the sale is attributed to you regardless of cookie state.
• Priority: If both a referral cookie and a coupon code are present on a transaction, the coupon code attribution takes priority.
• Last-Click Wins: If a customer clicks multiple affiliate referral links, only the most recent click is tracked. The cookie is overwritten with each new click.

No commission is earned on free trial sign-ups. Commission is only earned when a customer makes a paid transaction.

6. Escrow and Hold Periods

All commissions enter an escrow hold period before becoming eligible for payout. This protects against fraudulent transactions, chargebacks, and refunds. The hold period depends on your trust level, which is assigned and managed by Qualify Nation:

• New affiliates: 30-day escrow hold period.
• Established and Trusted affiliates: 15-day escrow hold period.

Trust levels are assigned at Qualify Nation's sole discretion based on factors including account history, sales volume, and refund rates. Trust level upgrades or downgrades may occur at any time.

7. Payouts

Payouts are processed via Stripe Connect. You must complete Stripe Connect onboarding and maintain an active, verified Stripe account to receive payouts. Qualify Nation is not responsible for delays or issues caused by Stripe or your banking provider.

• Established and Trusted affiliates: Payouts are processed weekly (every Monday).
• New affiliates: Payouts are processed bi-weekly (1st and 15th Monday of each month).

Only commissions that have cleared the escrow hold period and have been approved are included in payouts. Qualify Nation reserves the right to withhold payouts pending investigation of suspected fraud or Terms violations.

8. Refunds, Chargebacks, and Clawbacks

If a customer who was attributed to you requests a refund, initiates a chargeback, or cancels their subscription:

• Commissions still in escrow (pending or escrowed status) will be automatically cancelled.
• Commissions that have been approved but not yet paid will be removed from the upcoming payout.
• Commissions that have already been paid out may be subject to clawback at Qualify Nation's discretion. In such cases, the amount may be deducted from future payouts.

9. Prohibited Marketing Practices

You must not engage in the following practices when promoting Qualify Nation:

• Bidding on Qualify Nation brand keywords (including misspellings and variations) in paid search advertising (Google Ads, Bing Ads, etc.).
• Making false, misleading, or exaggerated claims about Qualify Nation products, services, pricing, or results.
• Sending unsolicited bulk email (spam) or using any form of unsolicited messaging to promote your referral links.
• Using cookie stuffing, forced clicks, pop-unders, or any automated or deceptive method to generate clicks or referrals.
• Impersonating Qualify Nation or creating domains that mimic our branding.
• Offering incentives (cashback, rewards, discounts beyond assigned coupons) to customers to use your referral link, unless explicitly authorised by Qualify Nation.
• Any marketing activity that violates applicable laws, regulations, or advertising standards.

Violation of these rules may result in commission forfeiture, account suspension, or permanent removal from the Programme.

10. Creative Assets and Intellectual Property

Qualify Nation may provide marketing creative assets (images, videos, headlines, copy) through the affiliate dashboard. You are granted a limited, non-exclusive, revocable licence to use these assets solely for promoting Qualify Nation products as part of the Programme. You must not modify, alter, or create derivative works from these assets without prior written approval. All intellectual property rights in the assets remain with Qualify Nation.

You must not create your own marketing materials that use Qualify Nation trademarks, logos, or branding without explicit written permission. Upon termination from the Programme, you must immediately cease using all Qualify Nation creative assets and branding.

11. Account Suspension and Termination

Qualify Nation reserves the right to suspend or terminate your affiliate account at any time and for any reason, including but not limited to:

• Violation of these Terms.
• Fraudulent, deceptive, or suspicious activity.
• Excessive refund or chargeback rates among your referred customers.
• Inactivity (no referrals or sales for 12 consecutive months).
• At Qualify Nation's sole discretion for any business reason.

Upon termination, any pending commissions in escrow may be forfeited. Approved commissions that have cleared escrow will be paid out in the normal payout cycle, provided no Terms violations are identified. You may also terminate your participation at any time by contacting us.

12. Limitation of Liability

To the maximum extent permitted by law, Qualify Nation's total liability to you under or in connection with the Programme shall not exceed the total commissions paid to you in the 12 months preceding the event giving rise to the claim. Qualify Nation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from your participation in the Programme.

The Programme is provided "as is" without warranties of any kind, whether express or implied. Qualify Nation does not guarantee uninterrupted or error-free operation of the platform, nor any specific level of commission earnings.

13. Modifications to Terms

Qualify Nation may update these Terms at any time. Material changes will be communicated via email or a notice on the affiliate dashboard. Your continued participation in the Programme after changes are posted constitutes acceptance of the revised Terms. If you do not agree with any changes, you must stop participating in the Programme and contact us to close your account.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
